These Terms of Service ("Terms") constitute a legally binding agreement between you and The Scholarship Academy governing your access to and use of the Platform located at VirtualScholarshipCenter.com.

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

IMPORTANT: These Terms contain provisions that limit our liability and require arbitration of disputes. Please read these Terms carefully.

2. Eligibility and Account Registration

2.1 Eligibility

The Platform is designed for:

  • Students seeking scholarship opportunities and college planning resources
  • Parents supporting their children's educational journey
  • Educational administrators, counselors, and case managers
  • Volunteers and scholarship coaches providing student support
  • Network, district, and organization administrators managing programs
  • Scholarship providers offering opportunities

Students may register independently or be registered by their educational institution. By using the Platform, you represent that you have the authority to enter into these Terms.

2.2 Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities under your account
  • Immediately notify us of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or contain false or misleading information.

2.3 Institutional Registration

When students are registered by schools, districts, networks, or organizations, those institutions represent that they have the authority to register students and provide consent for educational services on behalf of their students.

3. Platform Services and Features

VSC provides a comprehensive platform for scholarship and college planning, including but not limited to:

  • Scholarship search, matching, and application tracking
  • College cost comparison and financial planning tools
  • Resume and essay review services
  • Virtual and in-person office hours with scholarship coaches
  • Case management and student support services
  • Educational assessments and resources
  • Event coordination and volunteer management
  • Network and organization administration tools

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

4. Artificial Intelligence and Automated Processing

4.1 Use of AI Technology

VSC may use artificial intelligence (AI), machine learning, and automated processing technologies now or in the future to enhance user experience, including but not limited to:

  • Matching students with relevant scholarship opportunities
  • Analyzing and improving essay and resume content
  • Providing personalized recommendations and insights
  • Optimizing Platform features and functionality
  • Detecting patterns and trends to improve educational outcomes
  • Automating administrative tasks and workflows
  • Enhancing search capabilities and content discovery
4.2 Data Processing and PII Protection

You acknowledge and agree that:

  • When AI or automated systems are used to process content, we implement measures to remove or anonymize Personally Identifiable Information (PII) before processing
  • AI-generated suggestions, feedback, or recommendations are provided for informational purposes and should be reviewed and verified by users
  • While we strive for accuracy, AI systems may occasionally produce errors or incomplete results
  • Final decisions regarding scholarships, college applications, and content submissions remain the sole responsibility of the user
  • We do not guarantee specific outcomes or scholarship awards based on AI recommendations
4.3 Human Oversight

Critical decisions, personalized feedback, and sensitive student support services involve human review and oversight. AI serves as a supplementary tool to enhance, not replace, human judgment and educational expertise.

5. User Responsibilities and Acceptable Use

5.1 User Conduct

You agree not to:

  • Provide false, inaccurate, or misleading information
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any unlawful, fraudulent, or deceptive activity
  • Upload or transmit viruses, malware, or harmful code
  • Interfere with or disrupt the Platform's operation or security
  • Attempt to gain unauthorized access to any portion of the Platform
  • Harvest or collect information about other users without consent
  • Use the Platform for commercial solicitation without authorization
  • Harass, abuse, threaten, or intimidate other users
  • Post or transmit inappropriate, offensive, or unlawful content
  • Violate any applicable laws, regulations, or third-party rights
5.2 Student Responsibilities

Students are responsible for:

  • Ensuring the accuracy of all submitted information and applications
  • Meeting scholarship and college application deadlines
  • Maintaining the security of their FAFSA and financial information
  • Verifying scholarship eligibility requirements before applying
  • Following all instructions provided by scholarship providers
  • Updating their profiles and scholarship portfolios regularly
5.3 Administrator, Advisor, and Counselor Responsibilities

Administrators, counselors, and case managers agree to:

  • Use student information only for legitimate educational purposes
  • Maintain confidentiality of student records and case notes
  • Provide accurate guidance and support to students
  • Document interactions appropriately through case notes
  • Comply with FERPA and applicable privacy regulations

6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you submit to the Platform, including essays, resumes, personal statements, and other materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and display your content solely for the purpose of providing and improving Platform services.

6.2 Content Standards

All User Content must:

  • Be accurate and truthful
  • Not violate any third-party rights (copyright, trademark, privacy, etc.)
  • Not contain illegal, harmful, or offensive material
  • Comply with all applicable laws and regulations

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

6.3 Platform Content

The Platform, including its design, features, text, graphics, logos, and software, is owned by The Scholarship Academy and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.4 Scholarship Provider Content

Scholarship information, requirements, and application materials are provided by scholarship providers and are subject to their respective terms and conditions. We do not guarantee the accuracy or completeness of scholarship information.

7. Scholarship Applications and Awards

7.1 No Guarantee of Awards

IMPORTANT: VSC is a scholarship search and management platform. We do not guarantee that any user will receive scholarship awards. Scholarship selection is determined solely by scholarship providers based on their criteria.

7.2 Third-Party Scholarships

Many scholarships hosted on or linked from the Platform are administered by third-party scholarship providers. Your applications and information shared with these providers are subject to their terms, conditions, and privacy policies. We are not responsible for:

  • Scholarship provider decisions or selection processes
  • Payment or disbursement of scholarship awards
  • Changes to scholarship requirements or availability
  • Disputes between users and scholarship providers
7.3 Application Accuracy

You are solely responsible for the accuracy and completeness of all scholarship applications. False or misleading information may result in disqualification from scholarships and termination of your VSC account.

7.4 VSC-Administered Rewards

VSC may offer rewards or incentives for Platform engagement. Eligibility and distribution of VSC rewards are determined by network administrators based on network-specific criteria and are subject to availability and budget constraints.

8. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources, including:

  • Scholarship provider websites
  • College and university websites
  • Financial aid resources
  • Educational tools and services

We do not control, endorse, or assume responsibility for third-party content or services. Your use of third-party services is at your own risk and subject to their terms and conditions. We encourage you to review the terms and privacy policies of any third-party services you access.

9. Educational Services Disclaimer

VSC provides educational resources, tools, and support services to assist with scholarship and college planning. However:

  • We are not a licensed educational institution or accredited counseling service
  • Information provided is for educational and informational purposes only
  • We do not provide legal, financial, or professional advice
  • Resume reviews, essay feedback, and coaching services are provided by volunteers and staff who may not be licensed professionals
  • Users should verify all information and consult with qualified professionals for specific advice
  • College cost data and financial planning tools are estimates and may not reflect actual costs

You acknowledge that ultimate decisions regarding college selection, scholarship applications, and financial planning are your responsibility.

10. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

We implement reasonable security measures to protect user data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • Information provided is accurate, complete, or current
  • Defects will be corrected
  • The Platform is free of viruses or harmful components
  • Scholarship matches or recommendations will result in awards
11.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SCHOLARSHIP ACADEMY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Platform
  • Any conduct or content of third parties on the Platform
  • Unauthorized access to or alteration of your transmissions or content
  • Errors, mistakes, or inaccuracies in Platform content
  • Personal injury or property damage resulting from your use of the Platform
  • Loss of scholarship opportunities or awards
  • Reliance on information provided through the Platform

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations and exclusions will apply to the fullest extent permitted by applicable law, and our liability will be minimized to the greatest degree legally allowable.

12. Indemnification

You agree to indemnify, defend, and hold harmless The Scholarship Academy, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform or violation of these Terms
  • Your User Content or submission of false information
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your violation of any applicable laws or regulations
  • Any claim that your User Content caused damage to a third party

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Account Termination and Suspension

13.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination, you will no longer have access to your account or User Content stored on the Platform.

13.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Providing false or misleading information
  • Prolonged inactivity
  • Risk to other users or the Platform
  • Request by law enforcement or government authorities
13.3 Effect of Termination

Upon termination:

  • Your right to use the Platform immediately ceases
  • You remain liable for any obligations incurred prior to termination
  • We may retain certain information as required by law or legitimate business purposes
  • Sections of these Terms that by their nature should survive will remain in effect

14. Dispute Resolution and Arbitration

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

14.2 Informal Dispute Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally by sending a written notice describing the nature and basis of the claim and the requested relief. We will have 60 days to resolve the dispute informally.

14.3 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitration shall be conducted in Georgia, United States, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.5 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.6 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on the Platform
  • Updating the "Last Updated" date at the top of these Terms
  • Sending email notifications for significant changes (at our discretion)

Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Scholarship Academy regarding your use of the Platform.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or system failures.

16.6 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and The Scholarship Academy.

16.7 Notice

We may provide notices to you via email, postal mail, or postings on the Platform. Notices to us should be sent to the contact information provided in Section 17.

  • Network (District / School) Admins: Can view and manage data for all organizations within their network
  • Organization Admins, Advisors, and Counselors: Can access student profiles, scholarship portfolios, and case notes within their organization
  • Case Managers: Can view and update student information to provide support services
  • Parents: Can access information related to their linked student account
  • Volunteers: Can access limited student information necessary to provide resume reviews, essay reviews, and coaching support
4.2 With Scholarship Providers

When students apply for scholarships through the Platform, we share relevant student information with scholarship providers to facilitate the application process. Scholarship providers may search for and invite students to apply for their scholarships.

4.3 With Partner Organizations

We may share information with schools, corporations, and partner organizations that have formal partnerships with VSC and are mapped to specific networks or organizations.

4.4 Service Providers

We may share information with third-party service providers who perform services on our behalf, such as hosting, data analysis, payment processing, and customer service.

4.5 Legal Requirements

We may disclose information if required to do so by law or in response to valid requests by public authorities (e.g., court orders, subpoenas, or government agencies).

  • Parental Involvement: While not required, parents are welcome to create linked accounts to stay informed and engaged in their student's scholarship journey

When students are registered by educational institutions, we operate under the school's authority to provide educational services. We encourage but do not require parental involvement, recognizing that parent engagement enhances student success in the college and scholarship application process.

8.2 FERPA Compliance

We comply with the Family Educational Rights and Privacy Act (FERPA) to the extent applicable, ensuring that educational records are protected and accessible to authorized parties only.

8.3 Parental Rights

Parents have the right to:

  • Review their child's information
  • Request correction or deletion of their child's information
